1. WHO WE ARE AND WHAT THIS AGREEMENT DOES
1.1 Who we are.
We are Verifico Ltd, a company incorporated and registered in England and Wales under company number 17437921, with our registered office at 128, City Road, London, EC1V 2NX, United Kingdom.
1.2 What we do.
We provide technology and services that enable a Client to verify the identity, age, address or related information of that Client's customers, users, applicants or other individuals. Client determines why identity verification is required and how the Verification Result will be used. Verifico provides the technology that supports that process and does not decide whether Client should accept, reject, or otherwise act in respect of a User.
2. THE SERVICE
2.1 Verifico grants Client a limited, non-exclusive, non-transferable and revocable right to use the Service, solely for Client's own internal business purposes, namely to verify the identity of Client's Users. Verifico separately grants each User a limited, non-exclusive, non-transferable and revocable right to use the Service (including, where applicable, to download and install the App) solely for the purpose of completing the verification for which it has been made available to that User.
2.2 The Service may be made available to Client and its Users through a web-based application, dashboard, mobile application (including the App), verification link, embedded verification interface, API-powered interface, or other technology made available by Verifico.
2.3 We may update, improve, modify, suspend or withdraw features of the Service from time to time, including in response to changes in applicable law, security requirements, or the availability of third-party providers. We will not make changes that materially reduce the overall functionality of the Service that Client has subscribed for without giving Client reasonable notice. If we make a new version of the App or the Service available, a User should install it, as the User may not be able to continue using an outdated version, and may need to accept updated terms before continuing.
3. THE IDENTITY VERIFICATION PROCESS
This Section explains, at a general level, how a verification carried out through the Service works.
3.1 How a verification works.
A verification is typically carried out in four stages. The exact flow depends on the Check requested, the access channel used, and any customisation agreed with Client.
Step 1 – Initiation and data input. Client, or the User directly, inputs the information needed to start the Check (for example, the User's name, date of birth and contact details, or basic details of a corporate entity for a know-your-business check).
Step 2 – User completes the Check. Depending on the Check, the User may be prompted (for example by SMS, email, or an on-screen link) to upload a document, take a selfie photograph or provide further information directly to Verifico through the Service.
Step 3 – Verifico performs the Check. Verifico processes the information provided. This may include automated analysis of identity documents (for example, checking security features, fonts, and data consistency), automated comparison of a selfie photograph or video against the identity document to confirm they match and that the User is physically present ("liveness").
Step 4 – Verification Result generated. Verifico generates a Verification Result and makes it available to Client through the Service.
3.2 What may be requested
Depending on the Check(s) Client has subscribed for, the Service may request or process the following categories of information from or about a User:
Identity document verification – the User's name, date of birth, nationality, and the information and images contained on an identity document provided by the User, such as a passport, driving licence, or national identity card.
Facial and biometric (liveness) verification – a photograph or short video of the User, and biometric information derived from it and from the identity document, used to confirm that the User matches the document and is physically present.
Address verification – the User's name, residential address, and, where applicable, information obtained from credit reference or address-verification data sources, and information contained in proof-of-residency documents (such as utility bills or bank statements) provided by the User.
Proof of citizenship -- where a proof-of-citizenship check is requested, information about the User's citizenship contained in documents provided by the User.
Screening checks –the User's name, date of birth and nationality, matched against sanctions, politically exposed persons ("PEP"), and adverse media data sources.
Know-your-business ("KYB") checks – a corporate entity's name and registration details and, where relevant, the name and role of its associated beneficial owners or officers.
All Checks – technical and device information (including IP address), and the Verification Result itself and related metadata.
Some of this information, in particular biometric data processed for the purpose of uniquely identifying a User, may constitute special category data under the Data Protection Laws, and is processed with the additional safeguards this requires. Further detail on the specific information processed for a given Check is available in our Privacy Notice and, for Client, in the Service documentation.
3.3 How the information is checked and processed.
Documents and images are checked using a combination of automated analysis (for example, verifying security features and cross-checking data fields for internal consistency) and, where applicable, comparison against third-party data sources. Facial and biometric information is compared using automated matching technology to assess whether the User in the photograph or video matches the identity document and is physically present. No verification method is perfect: these technologies are based on the information available at the time, may be probabilistic rather than absolute, and may not always produce a correct, complete or conclusive result. Verifico may also use automated language-model tools to extract and structure address data from proof-of-residency documents. Such tools may be provided by Sub-processors and are subject to the Data Processing Addendum.
3.4 Division of roles
Verifico's role is limited to operating the Service and producing a Verification Result to support Client's own decision-making. Verifico does not review, approve or make any decision about a User, and does not decide whether Client should accept, reject, open, decline to open, or otherwise establish or decline to establish a relationship with a User. Client remains solely responsible for any such decision, whether or not it is based on a Verification Result, and for determining why an individual's identity needs to be verified, the legal basis for that verification, and how the Verification Result will be used. Client must not represent to a User that Verifico is responsible for, or has made, any decision about the User's application or relationship with Client.
3.5 Access channels. A User can generally access and complete a Check both through Verifico's web-based portal and through the mobile (browser-based) version of that same portal, without needing to install any software. Where a Check involves reading the biometric chip embedded in a passport or other identity document via NFC, that specific step can currently only be completed using Verifico's App, which is free to download and install. the App is not required to complete the other steps of a Check.
4. AGE RESTRICTIONS AND ELIGIBILITY
4.1 The Service is not for minors.
The Service is not intended for use by, and must not be used by, individuals under the age of 18. Save as set out in Section 4.2, Client must not request or direct, and a User must not complete, a verification through the Service where the User is under the age of 18.
4.2 Age-related Checks.
Where an Age Check indicates that an individual is under the age of 18, or otherwise does not meet Client's required age threshold, Client must not permit that individual to proceed with the wider verification, application, product or service, and must not request that they complete any further Check through the Service.
4.3 Referees, guarantors and witnesses.
If a User is acting as a referee, guarantor, or witness in connection with another individual's verification, that User must be 18 years of age or older.
4.4 General eligibility.
A User must otherwise be legally able to use the Service and to provide the information requested of them. If Verifico discovers, or has reasonable grounds to suspect, that a User does not meet the eligibility requirements in this Section 4, Verifico may suspend or stop that User's use of the Service, and may notify Client accordingly.
4.5 No circumvention of age or identity restrictions.
A User, and any person assisting or acting on behalf of a User, must not attempt to circumvent the age restrictions or eligibility requirements in this Section 4 or otherwise misrepresent a User's age or identity, including by:
using another person's identity document, photograph, or other personal information;
using an altered, manipulated, expired or fraudulently obtained document;
providing a fake, artificially generated, or otherwise false date of birth or other identifying information; or
using any other material or method intended to mislead the Service, Verifico or Client as to a User's true age or identity.
4.6 Client's configuration responsibility.
Client is responsible for configuring the Service, and for directing verifications, in a manner consistent with this Section 4 and with any applicable law relating to the protection of minors, and for taking appropriate action (including declining to proceed) where it becomes aware that a User does not meet the age or eligibility requirements applicable to Client's own product or service.
5. LIMITATIONS OF VERIFICATION
5.1 General limitations.
The Service is designed to support Client's decision-making. Verifico does not guarantee that a Verification Result will be accurate, complete or conclusive in every case, that a Verification Result will be produced in every case, or that every fraudulent, altered, borrowed or misleading document or piece of information will be detected. A Verification Result may be affected by factors outside Verifico's reasonable control, including the quality of the information or documents supplied, the User's device or environment, and the performance of third-party data providers.
5.2 Allocation of responsibility.
To the maximum extent permitted by applicable law, Verifico is not liable for any loss, damage, regulatory consequence or other claim arising from: a User's circumvention of, or attempt to circumvent, the age restrictions or eligibility requirements in Section 4.
5.3 Client's and User's own responsibility unaffected.
Nothing in this Section 5 affects Client's own responsibility for determining the age and eligibility requirements applicable to its own products or services, for configuring the Service accordingly, and for making its own decision. Nor does anything in this Section 5 affect a User's own responsibility to provide accurate, genuine and truthful information and not to attempt to circumvent the verification process.
6. INTELLECTUAL PROPERTY
6.1 All intellectual property rights in the Service, including its software, applications, source code, object code, databases, interfaces, designs, graphics, trademarks, logos, text and documentation, belong to Verifico or its licensors. Except for the limited rights to use the Service, neither Client nor any User acquires any ownership rights in the Service.
6.2 Client (or its licensors) owns all intellectual property rights in Client Data and User Data. Nothing in this Agreement transfers ownership of that data to Verifico.
6.3 Neither Client nor any User may copy, reproduce, modify, distribute, reverse engineer, decompile, disassemble or create derivative works of the Service, or use Verifico's name, logo or other trademarks without permission, except to the extent such a restriction cannot be excluded under applicable law. Client and Users must not use the Service to develop, test or provide a competing service.
6.4 We may use aggregated or anonymised data derived from use of the Service to operate, maintain and improve our services, provided such data does not identify Client or any individual. Biometric Data is never used for this purpose, and User Data is not used to train general or shared models except on Client's prior written instruction, as set out in the Data Processing Addendum.
6.5 If Client or a User provides feedback, suggestions or comments about the Service, Verifico may use that feedback to develop or improve its services without any obligation to compensate the person providing it.
7. THIRD-PARTY PROVIDERS
7.1 We use third-party providers to provide certain components of the Service, including providers of cloud hosting, identity-related data, fraud prevention, cybersecurity, credit reference, and communications.
7.2 Details of the categories of third-party providers, and, where relevant, any additional terms that apply to their use, are provided in our Privacy Notice, our DPA, or made available to Client separately. Where a linked third-party service has its own terms or privacy policy, a User should read those separately.
7.3 Verifico is not responsible for the availability or operation of third-party services that are outside our reasonable control.
8. AVAILABILITY OF THE SERVICE
8.1 We will use reasonable efforts to make the Service available, but we do not guarantee that the Service will always be available, uninterrupted, secure or error-free.
8.2 The Service may be unavailable from time to time for maintenance, upgrades, security measures, technical problems, network failures, or due to circumstances outside our reasonable control, including third-party service failures.
8.3 Where planned maintenance is expected to materially affect availability, we will use reasonable efforts to give Client advance notice where practicable.
8.4 We are not responsible for any inability of Client or a User to access or use the Service caused by circumstances outside our reasonable control.
9. PERSONAL DATA
9.1 Compliance with Data Protection Laws.
Each of Verifico and Client will comply with its respective obligations under the Data Protection Laws in connection with the Service. Nothing in this Agreement relieves either party of its own obligations under the Data Protection Laws.
9.2 The parties' roles.
In relation to User Data processed through the Service in order to carry out a verification requested by Client, Client is the Controller and Verifico is the Processor, acting on Client's documented instructions as set out in this Agreement. Verifico also acts as a Controller in relation to certain limited processing of User Data carried out for Verifico's own purposes, including, where permitted by law, maintaining its own fraud-prevention records, safeguarding the security and integrity of the Service, complying with its own legal and regulatory obligations, and producing aggregated or anonymised statistics. Biometric Data is never processed for these purposes.
9.3 International transfers.
Where Verifico transfers User Data outside the United Kingdom or the European Economic Area, Verifico will ensure that the transfer is subject to appropriate safeguards recognised under the Data Protection Laws, such as adequacy regulations or standard contractual clauses, as further described in the DPA and our Privacy Notice.
9.4 Client's obligations as Controller.
Where Client is the Controller of User Data, Client will:
ensure it has a valid lawful basis for the collection and processing of User Data through the Service, and, where consent is relied upon, that the consent meets the requirements of the Data Protection Laws;
before any Liveness Check, obtain each User's explicit, specific and informed consent to the biometric processing, offer an alternative non-biometric means of verification to Users who do not consent, and, for Users in Illinois, Texas, Washington or any other state with a biometric privacy law, obtain the written release required by that law;
give Users clear and accurate privacy information before they use the Service, including by providing the applicable Consumer Wording in accordance with Section 14;
only instruct Verifico to process User Data to the extent necessary and proportionate for the verification purpose notified to the User;
respond to, or where applicable assist Verifico in responding to, requests from Users to exercise their rights under the Data Protection Laws; and
promptly notify Verifico of any complaint, request or notice from a User or a regulator that relates to Verifico's processing of User Data.
9.5 Verifico's obligations as Processor.
Where Verifico is the Processor of User Data, Verifico will:
process User Data only on Client's documented instructions, as set out in this Agreement, unless required to do otherwise by applicable law, in which case Verifico will inform Client before processing, unless prohibited from doing so;
ensure that persons authorised to process User Data are subject to an appropriate duty of confidentiality;
implement appropriate technical and organisational measures to protect User Data against unauthorised or unlawful processing and against accidental loss, destruction or damage;
only engage a sub-processor with Client's general written authorisation under the Data Processing Addendum, subject to at least 10 business days' prior notice of any new or replacement Sub-processor and Client's right to object under Section 4 of the Data Processing Addendum, and impose data protection obligations on any sub-processor that are the same as those set out in the Data Processing Addendum;
taking into account the nature of the processing, provide reasonable assistance to Client in responding to requests from Users to exercise their rights under the Data Protection Laws;
provide reasonable assistance to Client in relation to Client's obligations regarding the security of processing, data protection impact assessments and consultation with regulators, taking into account the nature of the processing and the information available to Verifico;
notify Client immediately and in any event within 24 hours of becoming aware of a Personal Data Breach affecting User Data, and provide such information as Client reasonably requires to meet its own notification obligations; and
at Client's written request, delete or return User Data processed on Client's behalf following the end of the provision of the relevant Service, within 30 days, and delete existing copies in accordance with Section 8 of the Data Processing Addendum, save to the extent Verifico is required to retain it by applicable law.
9.6 Retention and deletion.
Verifico will retain User Data for the period set out in Client's configured retention settings, or, if none is specified, for such period as is reasonably necessary for the purposes for which it was collected and to comply with Verifico's own legal and regulatory obligations. In all cases, User Data is not retained for more than six (6) months after completion of the relevant verification, and Biometric Data is deleted within 90 days of completion of the verification session, unless applicable law requires longer retention. Client's configured retention settings may shorten these periods but may not extend them, as set out in Schedule 1 of the Data Processing Addendum. Data held in secure backups that cannot be deleted immediately is isolated and deleted within 90 days, as set out in Section 8.2 of the Data Processing Addendum.
9.7 Audit.
On reasonable written notice, and no more than once in any 12-month period (unless Client reasonably believes there has been a breach of the Data Processing Addendum, or an audit is requested by a supervisory authority). Client bears the costs of any audit, except where the audit reveals a material breach of the Data Processing Addendum by Verifico, as set out in Section 7.2 of the Data Processing Addendum, Verifico will make available to Client such information as is reasonably necessary to demonstrate Verifico's compliance, which may include a summary of relevant audit reports or security certifications, save that Verifico is not required to give Client access to information about other clients, non-public security reports, or its own or a sub-processor's physical premises.
10. CLIENT'S ACCOUNT AND AUTHORISED USERS
10.1 Client may only access the Service through its Authorised Users. Client is responsible for the acts and omissions of its Authorised Users as if they were Client's own, and for keeping account credentials secure.
10.2 Client must promptly notify Verifico of any suspected unauthorised access to Client's account, any misuse of the Service, or any material dispute concerning a Verification Result that may be relevant to Verifico.
11. CLIENT'S USE OF THE SERVICE
11.1 Client must use the Service only for lawful purposes and only to the extent necessary and proportionate for the purpose for which the verification is requested.
11.2 Client must not resell, sublicense, or otherwise make the Service available to any third party, other than to Client's own Users for the purpose of completing a verification, unless otherwise agreed in writing.
11.3 Client must comply with all applicable laws and regulations relevant to its use of the Service and the verification of Users, including, where applicable, anti-money laundering, know-your-customer, right-to-work, sanctions, consumer protection, the protection of minors, and Data Protection Laws.
11.4 Client must not use the Service in a way that would cause Verifico to breach the Data Protection Laws or any applicable regulatory requirement.
12. CLIENT'S RESPONSIBILITIES TOWARDS ITS USERS
12.1 Client is solely responsible for determining why a User's identity needs to be verified, the legal basis for that verification, and how the Verification Result and any related information will be used.
12.2 Before asking a User to complete a verification, Client must give the User clear, accurate and timely information about the verification process, including the information set out in Consumer Wording and any other notices required by Section 14.
12.3 Client is responsible for obtaining any consents, or establishing any other lawful basis, required under applicable law for the collection and processing of User Data, and for maintaining its own privacy notice or fair processing notice covering its use of the Service.
12.4 Client must not use, or ask its Users to use, the Service for any unlawful, fraudulent, coercive, deceptive or harmful purpose, and must not require an individual to complete a verification where Client knows or ought reasonably to know that doing so is not necessary or proportionate.
12.5 Client is responsible for ensuring that a verification is not requested from, and is not directed at, an individual under the age of 18, except strictly in accordance with Section 4 and for taking the action where an Age Check or other information indicates that a User does not meet the applicable age requirement.
12.6 Client remains solely responsible for any decision made about a User, including any decision to accept or reject an application, open or decline to open an account, or otherwise establish or decline to establish a relationship, whether or not based on a Verification Result.
12.7 If a User raises a query or complaint about a Verification Result or about how their information has been used, Client is responsible for responding to that User in the first instance, save that Verifico will provide reasonable assistance.
13. FEES AND PAYMENT
13.1 Unless stated otherwise, Fees are calculated by reference to the volume and type of verification Checks performed, or on such other basis.
13.2 We will invoice Client in accordance with the billing arrangements. Invoices are payable within the period stated on the invoice, or, if none is stated, within 30 days of the invoice date.
13.3 Fees are exclusive of VAT and any other applicable taxes, duties or levies, which Client is responsible for paying in addition to the Fees.
13.4 If Client disputes an invoice in good faith, Client must notify us within 30 days of the invoice date, failing which the invoice will be treated as accepted.
14. CONSUMER WORDING AND USER NOTICES
14.1 Before asking a User to complete a verification using the Service, Client must provide that User with the applicable Consumer Wording set out in Appendix 1, or a notice that is materially equivalent and covers, at a minimum, the matters set out in that wording.
14.2 Client may adapt the Consumer Wording to fit its own branding, format and communication channels (for example, incorporating it into an email, SMS message, or its own privacy notice), provided that the adapted wording does not omit, materially alter, or contradict the substance of the Consumer Wording.
14.3 Client must not represent to Users that Verifico is responsible for, or has made, any decision about the User's application or relationship with Client.
14.4 We may update the Consumer Wording from time to time, including to reflect changes to the Service, our sub-processors, or the Data Protection Laws. Where we make a material update, we will give Client reasonable notice and Client must use the updated, we will give Client at least 30 days' written notice, in line with Section 36.2 and Client must use the updated wording going forward.
14.5 Client is responsible for ensuring that the Consumer Wording, as adapted and used by Client, is actually and effectively communicated to each relevant User before verification takes place.
15. CONFIDENTIALITY
15.1 "Confidential Information" means information disclosed by one party (the "Discloser") to the other (the "Recipient"), whether before or after the date of this Agreement, that is marked as confidential or that a reasonable person would consider to be confidential given its nature and the circumstances of disclosure, including information about either party's business, pricing, security, suppliers, sub-processors and technology.
15.2 The Recipient will keep the Discloser's Confidential Information confidential, use it only to perform its obligations or exercise its rights under this Agreement, and disclose it only to employees, contractors and advisers who need to know it and who are bound by confidentiality obligations at least as protective as those in this Section 15.
15.3 The obligations in this Section 15 do not apply to information that is, or becomes, public other than through the Recipient's breach of this Agreement, was already known to the Recipient free of any confidentiality obligation, is lawfully obtained from a third party, or is independently developed without reference to the Confidential Information.
15.4 A party may disclose Confidential Information where required by law or by a competent regulator or court, provided that, where legally permitted, it gives the other party reasonable notice of the disclosure.
15.5 This Section 15 will continue to apply after this Agreement ends.
16. RESPONSIBILITIES OF THE USER
When using the Service, you agree that:
16.1 all information you provide will be accurate, complete and truthful, and relates to you;
16.2 any information or document you provide will belong to you or you will otherwise be lawfully authorised to provide it, and any document you use will be genuine, unaltered and current;
16.3 you will not knowingly provide false, misleading, altered, borrowed or fraudulent information or documents, and will not attempt to impersonate another person;
16.4 you meet the age and eligibility requirements set out in Age Restrictions and Eligibility, and you will not attempt to circumvent those requirements in any of the ways.
16.5 you will follow all reasonable instructions provided by Verifico or Client in connection with your use of the Service;
16.6 you will not allow another person to use the Service on your behalf unless this has been expressly authorised by Client;
16.7 you will use the Service only for lawful purposes, and will not attempt to bypass, interfere with, or misuse the Service;
16.8 you are responsible for ensuring that the device and internet connection used to access the Service are reasonably secure, and that you take reasonable steps to protect your device against viruses and malicious software; and
16.9 your use of the Service does not violate any applicable trade, economic, or financial sanctions, export control, or anti-money laundering laws, and you are not subject to any sanctions administered by the United Nations, the European Union, the United Kingdom, or the United States that would prohibit your use of the Service.
17. VERIFICATION OUTCOMES
17.1 The Service may generate or make available a Verification Result based on the information you submit and the Checks performed through the Service. A Verification Result may, for example, be: completed; incomplete; referred for further review; or not verified.
17.2 What happens next depends on Client, who requested the check. Verifico does not control or override Client's decision.
17.3 A successful verification does not guarantee that Client will accept you or provide you with any particular product or service. A failed or inconclusive verification does not necessarily mean that you have provided false information, or that you are not the person identified by the information or documents you submitted.
17.4 Some Checks are carried out, in whole or in part, using automated systems. Your rights in relation to automated decision-making are explained further in our Privacy Notice.
17.5 Verifico is not responsible for any decision made by Client based on a Verification Result. If you have concerns regarding a Verification Result or a decision made by Client, you should in the first instance contact Client directly.
18. INFORMATION AND DOCUMENTS FROM THE USER
18.1 Where requested, you must provide the information and documents required by Client through the Service. You must ensure that any information or document you provide is accurate, genuine and sufficiently clear for the purpose for which it is requested.
18.2 You must not use:
another person's identity document or personal information;
another person's photograph;
altered, manipulated or fraudulent documents;
fake or artificially generated information;
any material intended to mislead the Service or Client; or
any other method intended to circumvent the verification process, including the age restrictions in Section 4.
18.3 If you believe that information submitted by you is incorrect, you should contact Client directly.
19. TECHNICAL REQUIREMENTS FOR USER
19.1 To use the Service, you may need a compatible smartphone, tablet, computer, camera, browser, operating system, and internet connection. You are responsible for ensuring that your device and internet connection meet the requirements necessary to use the Service.
19.2 Verifico cannot guarantee that the Service will operate correctly on every device, browser, operating system or network.
19.3 You should ensure that your device is reasonably secure and that you have installed appropriate security updates.
20. HOW WE COMMUNICATE WITH USER
20.1 Depending on the verification process selected by Client, we may contact you by SMS, email, an on-screen prompt, or through the App, to ask you to provide information, upload a document, or complete a step of the verification.
20.2 Where the Service uses a one-time code to let you access the Service or the App, you must keep that code confidential. We are not responsible for any loss resulting from you sharing a code or your access credentials with someone else.
20.3 We will only use the contact details provided to us by you or by Client for the purpose of completing the verification, in accordance with our Privacy Notice.
20.4 If you no longer wish to receive communications from us in connection with a specific verification, you should contact Client, as they are responsible for deciding whether and how to continue the verification process.
21. ACCEPTABLE USE FOR USER
You must not:
21.1 use the Service for any unlawful, fraudulent, deceptive or misleading purpose;
21.2 attempt to gain unauthorised access to the Service, Verifico's systems or any related network;
21.3 attempt to circumvent or interfere with any security, verification, age-verification or fraud prevention functionality;
21.4 introduce any virus, malware, malicious code or other harmful material;

22. USER’S PRIVACY AND PERSONAL DATA
22.1 Your use of the Service involves the collection and processing of personal information. Depending on the Service requested by Client, we may process the categories of personal information, including your name, date of birth and nationality; your residential address; identity document information and images; photographs, selfie images or a short video; facial or other biometric information; technical and device information (including IP address); and Verification Results.
22.2 Some information processed through the Service may constitute special category personal data under applicable data protection legislation, including biometric data where it is processed for the purpose of uniquely identifying you. Where this applies, we will only process this data for the specific verification purpose for which it was collected, and in accordance with applicable law.
22.3 Further information about how your personal information is collected, used, stored and disclosed (including your rights, how long we keep your information, and how automated decision-making is used) is provided in our Privacy Notice.
22.4 Where Verifico processes your personal data on behalf of Client, Client is normally the data controller and Verifico acts as a data processor. Where Verifico processes personal data for its own purposes (for example, fraud prevention across our client base, or the security and integrity of the Service) Verifico acts as a data controller. The applicable role and purpose of processing will depend on the particular Service and verification process.
22.5 Verification Results are shared with Client, who requested the check. We may also share information with trusted third-party providers who help us deliver the verification, or where required by law. Further detail is provided in our Privacy Notice.
22.6 Processing of your data outside the UK.
Some checks may involve your data being processed outside the United Kingdom or the European Economic Area (for example, where a check relies on a third-party data provider based overseas, or where you or Client are located outside the UK). Where this happens, we will ensure that the transfer is subject to appropriate safeguards recognised under applicable data protection law, such as adequacy regulations or standard contractual clauses. Further detail is set out in our Privacy Notice.

23.1 We may refuse to carry out a verification, or stop a verification that is already in progress, if: the information or documents provided appear fraudulent, altered, or misleading; the information provided indicates that you do not meet the age or eligibility requirements; we reasonably suspect the Service is being misused; we are required to do so by law or by an applicable trust framework or regulatory rule; or Client has asked us to stop or cancel the verification request made to you.
23.2 If you stop using the Service before completing the verification process, Client may be unable to complete the relevant verification.
24. SUSPENSION OR TERMINATION OF USER’S ACCESS
24.1 We may suspend, restrict or terminate your access to the Service where reasonably necessary to:
protect the Service;
prevent fraud or misuse;
protect our systems;
comply with applicable law;
respond to a security incident;
protect Client or other users; or
comply with a request from Client.
24.2 Where we suspect you are using the Service in breach of this Agreement, we may suspend your access without prior notice.
24.3 If your access to the Service is suspended or terminated, you must stop using the Service.
24.4 Provisions which by their nature are intended to survive termination, including those relating to intellectual property, disclaimers, limitation of liability and governing law, shall continue to apply.
25. DISCLAIMER AND LIMITATION OF LIABILITY
25.1 Each party warrants that it has full power and authority to enter into and perform its obligations under this Agreement.
25.2 Nothing in this Agreement excludes or limits any liability which cannot legally be excluded or limited under applicable law, including for death or personal injury caused by negligence, or fraud or fraudulent misrepresentation.
25.3Neither party will be liable to the other for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, business, business opportunity, goodwill, reputation or anticipated savings, arising out of or in connection with this Agreement.
25.4 Verifico is not liable for any loss or damage arising from: information or documents incorrectly, incompletely or fraudulently provided by a User, including any attempt by a User to circumvent age or eligibility restrictions; Client's use of the Service other than in accordance with this Agreement or our instructions; Client's failure to provide the Consumer Wording; any decision made by Client based on a Verification Result; or circumstances outside Verifico's reasonable control.
25.5 To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis.
25.6 We do not guarantee that the Service will: always be available or uninterrupted; be free from errors, defects or technical failures; be completely accurate, reliable or up to date; detect every fraudulent or altered document or every attempt to circumvent age or identity restrictions; identify every attempt at impersonation; produce a Verification Result in every case; or meet every requirement imposed by a particular Client.
25.7 Verifico does not guarantee that your use of the Service will result in acceptance by Client, approval of an application, opening of an account, provision of a product or service, or establishment or continuation of a relationship with Client. Verifico is not responsible for any decision made by Client based on information or Verification Result obtained through the Service.
26. INDEMNIFICATION
26.1 To the extent permitted by applicable law, you agree to indemnify and hold Verifico harmless from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: any false, fraudulent, altered, or misleading information or document you provide through the Service, including any attempt to circumvent the age restrictions; your breach of this Agreement; your violation of any right of a third party, including through impersonation or misuse of another person's identity or personal information; or your unlawful use of the Service; Client's breach of this Agreement; Client's failure to provide the Consumer Wording or other required notices to a User; Client's breach of Age Restrictions and Eligibility; Client's breach of the Data Protection Laws as Controller; or Client's unlawful use of the Service.
26.2 This indemnity does not apply to the extent a claim arises from Verifico's breach of this Agreement or Verifico's negligence.
27. COMPLAINTS AND QUESTIONS
27.1 If your question or complaint concerns a verification request that was sent to you, a decision made about you, or how your information has been used by Client, you should contact Client directly, as they are responsible for that decision.
27.2 If your question or complaint concerns how the Service itself operates, you can contact us using the details in Contact Us or in our Privacy Notice.
27.3 If you remain concerned about how your personal data has been handled after contacting us, you have the right to lodge a complaint with the relevant data protection regulator, as explained further in our Privacy Notice.
28. NO WAIVER
28.1 No failure or delay by either party in exercising any right under this Agreement will operate as a waiver of that right, nor will any single or partial exercise of a right preclude any further exercise of that or any other right.
29. SEVERABILITY
29.1 If any provision of this Agreement is held to be invalid, illegal or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, legal and enforceable or, if it cannot be so modified, will be severed, and the remaining provisions will continue in full force and effect.
30. ENTIRE AGREEMENT
30.1 This Agreement constitutes the entire agreement between the relevant parties in respect of its subject matter and supersedes any prior agreements, arrangements or understandings, whether written or oral, relating to the same subject matter.
31. NO PARTNERSHIP OR AGENCY
31.1 Nothing in this Agreement creates a partnership, joint venture, or agency relationship between Verifico and Client or between Verifico and any User. No party has authority to bind another or to make any commitment on another's behalf.
32. NOTICES
32.1 Any notice given under this Agreement between Verifico and Client must be in writing and sent to the contact details held by each party for the other, including by email. Notices are treated as received at the time of sending, unless the sender receives an automated message indicating delivery failure.
33. THIRD-PARTY RIGHTS
33.1 Save as expressly provided in this Agreement, and save that Client may rely on and enforce the relevant provisions of Sections 24–36 to the extent they concern the verification process, a person who is not a party to the relevant relationship has no right under the Contracts (Rights of Third Parties) Act 1999, or otherwise, to enforce any term of this Agreement.
34. FORCE MAJEURE
34.1 Neither party will be liable for any failure or delay in performing its obligations under this Agreement to the extent that the failure or delay results from circumstances beyond that party's reasonable control, including internet or telecommunications failures, third-party service outages, cyberattacks, natural disasters, or acts of government. If a force majeure event affecting the relationship between Verifico and Client continues for more than 60 consecutive days, either party may terminate this Agreement, as between themselves, by written notice.
35. ASSIGNMENT
35.1 We may assign, transfer or subcontract our rights and obligations under this Agreement, in whole or in part, including in connection with a merger, acquisition, corporate reorganisation, or sale of assets, without Client's or a User's consent, provided the relevant party's rights under this Agreement are not materially diminished as a result.
35.2 Client may not assign or transfer its rights or obligations under this Agreement without our prior written consent, not to be unreasonably withheld. A User may not assign or transfer their rights or obligations under this Agreement without our prior written consent.
36. CHANGES TO THIS AGREEMENT
36.1 We may update this Agreement from time to time, including to reflect changes to the Service, our sub-processors, or applicable law.
36.2 Changes affecting Client.
Where a change materially reduces Client's rights or materially increases Client's obligations, we will give Client at least 30 days' written notice before the change takes effect. Other changes take effect on the date we notify Client or publish the updated Agreement. If Client does not agree to a material change, Client may terminate this Agreement, before the change takes effect. If Client continues to use the Service after a change becomes effective, Client will be deemed to have accepted the change, to the extent permitted by applicable law.

APPENDIX 1: CONSUMER WORDING
This Appendix sets out the notices Client must give to Users before they complete a verification through the Service. Client should insert the wording into its own communications with Users, replacing the bracketed placeholders with Client's own details. Client may adapt the format and tone of the wording.
1. Identity document verification
As part of our client due diligence process, we use identity document verification, a service provided by Verifico Ltd, to check the authenticity of your identity document.
This means we will ask you to provide a photograph or scan of an identity document, such as a passport or driving licence, which will be checked by Verifico on our behalf.
Your data will be processed in line with Verifico's Terms of Service and Privacy Notice (available at https://verifico.me/terms-of-service/ and https://verifico.me/privacy-notice/).
This message is for information only and no further action is required beyond completing the steps you are asked to complete. If you have any questions regarding identity document verification, please contact us at contact@verifico.me.
2. Facial and biometric (liveness) verification
As part of this process, we will also ask you to provide a selfie photograph or short video, a service provided by Verifico Ltd, to confirm that you match your identity document and that you are physically present.
This involves the automated processing of biometric information taken from your photograph or video and from your identity document, for the sole purpose of confirming your identity. Biometric information is deleted within 90 days after your verification session is completed.
Your data will be processed in line with Verifico's Terms of Service and Privacy Notice.
This message is for information only and no further action is required. If you have any questions regarding this check, please contact us at contact@verifico.me.
3. Address verification
As part of our client due diligence process, we will be using an address verification check, a service provided by Verifico Ltd, to help verify your address and raise any other potential fraud warnings.
This service is powered by Verifico's data provider(s). This does not affect your credit rating or credit score.
Your data will be processed in line with Verifico's Terms of Service and Privacy Notice.
Please read this carefully: the biometric step requires your explicit consent before it starts. If you do not wish to consent, you can ask us for a non-biometric alternative where one is offered. If you have any questions regarding this check, please contact us at contact@verifico.me.
4. Sanctions, PEP and adverse media screening
As part of our client due diligence process, we use a screening service provided by Verifico Ltd to check your details against publicly available sanctions, politically exposed persons, and adverse media sources.
This is a standard part of our compliance process and does not imply any suspicion about you personally.
Your data will be processed in line with Verifico's Terms of Service and Privacy Notice.
This message is for information only and no further action is required. If you have any questions regarding this check, please contact us at contact@verifico.me.
5. Know-your-business checks
As part of our client due diligence process, we use a know-your-business service provided by Verifico Ltd to verify the identity and registration details.
Data will be processed in line with Verifico's Terms of Service and Privacy Notice.
If you have any questions regarding this check, please contact us at contact@verifico.me.
6. Age verification
As part of this process, we will use an age verification or age estimation check, a service provided by Verifico Ltd, to confirm that you meet the minimum age required to use our product or service.
This service is not intended for, and must not be used by, individuals under the age of 18. If the check indicates that you do not meet the required age, we will not be able to proceed with your application.
Your data will be processed in line with Verifico's Terms of Service and Privacy Notice.
This message is for information only and no further action is required. If you have any questions regarding this check, please contact us at contact@verifico.me.
